- WARRANTIES THAT DEFECTS IN THE SITE WILL BE CORRECTED;
- WARRANTIES RELATING TO THE QUALITY, SAFETY, OR LEGALITY OF ANY FOOD PRODUCTS BEYOND THOSE REQUIRED BY APPLICABLE FEDERAL AND STATE FOOD SAFETY LAWS.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, any implied warranties are limited to the minimum scope and duration permitted by applicable law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SITE OR SERVICES;
- DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- DAMAGES ARISING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SITE;
- DAMAGES ARISING FROM ANY ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, OR DELAYS IN OPERATION OF THE SITE.
IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
The foregoing limitations of liability shall apply whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other legal theory, even if Dewey's Pizza has been advised of the possibility of such damages.
Some states, including California, do not allow the limitation or exclusion of liability for certain damages. In such jurisdictions, the above limitations may not apply to you, and our liability shall be limited to the greatest extent permitted by applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation;
- Your use of the Site or Services, including any orders you place;
- Your User Content or any content you submit, post, or transmit through the Site;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Any dispute or issue between you and any third party;
- Your negligence, willful misconduct, or fraudulent activity.
Dewey's Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Dewey's Pizza in asserting any available defenses.

You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceeding in such courts.
These Terms shall be interpreted in accordance with applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.), and any applicable state consumer protection statutes. Users located in California acknowledge that the California Consumer Privacy Act (Cal. Civ. Code § 1798.100 et seq.) and the California Consumer Legal Remedies Act may provide additional rights not described herein.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact Dewey's Pizza at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as described below.
14.2 Binding Arbitration
EXCEPT FOR SMALL CLAIMS COURT ACTIONS OR CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES.
The arbitration shall be conducted in the United States, in the state where Dewey's Pizza is located, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding, and judgment may be entered on the arbitrator's award in any court having jurisdiction. Arbitration costs and fees shall be allocated in accordance with the AAA Consumer Arbitration Rules.
14.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
14.4 Exceptions
Nothing in this section shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, or where required by applicable law.
15. Term and Termination
These Terms shall remain in full force and effect for as long as you use the Site or Services or maintain an account with Dewey's Pizza.
Dewey's Pizza reserves the right, in its sole discretion and without prior notice, to:
- Suspend or terminate your access to the Site or Services;
- Deactivate or delete your account and all associated information and files;
- Bar any further access to the Site or Services.

20. Force Majeure
Dewey's Pizza shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including, without limitation, acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, government actions, labor disputes, power outages, internet service disruptions, supply chain interruptions, or any other event beyond our reasonable control. In such circumstances, our obligations under these Terms shall be suspended for the duration of the force majeure event.
